Vioops : Terms of Services – Terms of
Use
These Vioops Terms of Service (the “Terms”) are a legal contract between you and Vioops Ltd. in Luxembourg (under formation) (“Vioops”, “we” or “us”). These Terms explain how you are permitted to use the Vioops mobile application (the “App”) and services, as well as the Vioops website located at www.vioops.com (the “Site”) and any content therein (collectively, the “Services”). Unless otherwise specified, all references to the Services include the services available through the App and the Site, as well as any software that Vioops provides to you that allows you to access the Services from a mobile device and any other Materials (as defined below). By registering for or using the Services, you are agreeing to all of the Terms; if you do not agree with any of these Terms, you won’t be able to access or otherwise use the Services. You may download and/or print a copy of these Terms for you records at: www.vioops.com/TOU/Terms_of_Service.htm.
If any breach of the
terms of use is noticed by the Vioops WebMaster he
will, without notice and at his sole discretion, terminate your right to use
the Services, or any portion thereof, and block or prevent your future access
to and use of the Services or any portion thereof.
Vioops may make changes to the Services at any time. Vioops can change, update, or add or remove provisions of these Terms at any time by posting the updated Terms on the App or the Site, by posting a notice on the Services or by notifying you via the App. By using the Services after Vioops has updated the Terms, you are agreeing to all the updated Terms; if you do not agree with any of the updated Terms, you must stop using Services.
Subscription to the App and Services is entirely free of charge. Some aspects of the Services or the Services in their entirety may not be available in all locations, and we may block access to some or all of the Services from certain locations based on your device’s geolocation information. We may add to or remove the areas in which the Services are or are not available partially or fully at any time, without notice to you.
By using, you represent, acknowledge and agree that you are at least 13 years of age. If you are not at least 13 years old, you may not use the Services at any time or in any manner or submit any information to the Services.
We may, in our sole discretion, refuse to offer the Services to any person or entity. We may, without notice and in our sole discretion, terminate your right to use the Services, or any portion thereof, and block or prevent your future access to and use of the Services or any portion thereof.
If any breach of the terms of use is noticed by the Vioops WebMaster he will, without notice and at his sole discretion, terminate your right to use the Services, or any portion thereof, and block or prevent your future access to and use of the Services or any portion thereof.

not another technical app, it focuses on the experience of sharing, exchanging
at anytime, anywhere, with the word & people around you.

Vioops is intensely in the moment
and in the place and each place is particular and has its own memory -- you can both see what others has experienced
in this particular place, and share your pieces of life related to a particular
place or moment with friends.
Vioops provides content through the Services that is copyrighted and/or trademarked work of Vioops or Vioops’s third-party licensors and suppliers or other users of the Services (collectively, the “Materials”). Materials may include logos, text graphics, video, images, photos, software and other content.
Subject to these Terms, Vioops hereby grants you a limited, non-exclusive, non-sublicensable, non-transferable and revocable license to use and to display the Materials and to use the Services solely for your personal, non-commercial use. Except for the foregoing license, you have no other rights in the Services or any Materials and you may not modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance or in any way exploit any of the Services or Materials in any manner.
You may use the Services for your personal, non-commercial use. You may not: (i) modify, disassemble, decompile or reverse engineer any part of the Services, except to the extent that such restriction is expressly prohibited by law; (ii) rent, lease, loan, resell, sublicense, distribute or otherwise transfer the Services to any third-party or use the Services to provide time sharing or similar services for any third-party; (iii) make any copies of the Services; (iv) remove, circumvent, disable, damage or otherwise interfere with security-related features of the Services, features that prevent or restrict use or copying of any content accessible through the Services, or features that enforce limitations on use of the Services; or (v) delete the copyright and other proprietary rights notices on the Services. You acknowledge that Vioops may from time to time issue upgraded versions of the Services, and may automatically electronically upgrade the version of the Services that you are using on your mobile device. You consent to such automatic upgrading on your mobile device, and agree that these Terms will apply to all such upgrades. Standard carrier data charges may apply to your use of the Services.
Except for the limited rights expressly licensed in these Terms, Vioops and its third-party licensors or suppliers retain all right, title, and interest in and to the Services.
If you breach any of these Terms, the above license will terminate automatically and you must immediately stop using the Services and destroy any downloaded or printed Materials.
It is your responsibility to ensure your computer or mobile device meets all the necessary technical specifications to enable you to access and use the Services. Vioops does not provide you with the equipment to access and/or use our Services.
During the process of creating an account in order to access the Services (“Account”), you may be required to select a password and provide us with other information (the “Login Information”). The following rules govern the security of your Account and Login Information. For the purposes of these Terms, references to Account and Login Information shall include any account and account information, including user names, passwords or security questions, whether or not created for the purpose of using the Services, that are used to access the Services:
a. You shall not share your Account or Login Information, nor let anyone else access your Account or do anything else that might jeopardize the security of your Account.
b. In the event you become aware of or reasonably suspect any breach of security, including, without limitation any loss, theft, or unauthorized disclosure of your Login Information or unauthorized access to your Account, you must immediately notify Vioops at webmaster@vioops.com and modify your Login Information;
c. You are solely responsible for maintaining the confidentiality of the Login Information, and you will be responsible for all uses of your Login Information, including purchases, whether or not authorized by you;
d. You are responsible for anything that happens through your Account, whether or not such actions were taken by you, including, for the avoidance of doubt, actions taken by third parties. You therefore acknowledge that your Account may be terminated if someone else uses it to engage in any activity that violates these Terms or is otherwise improper or illegal;
e. You undertake to monitor your Account and restrict use by any individual barred from accepting these Terms and/or receiving the Services, under the provisions listed herein or any applicable law. You shall accept full responsibility for any unauthorized use of the Services by any of the above mentioned;
f. Vioops reserves the right to remove or reclaim any usernames at any time and for any reason, including but not limited to claims by a third party that a username violates such third party's rights.
Any personal information you provide to us when creating or updating your Account which may include your name, e-mail address, picture, and any such other information, will be held and used in accordance with Vioops's Privacy Policy available at vioops.com/TOU/Terms_of_Service.htm (“Privacy Policy”) which constitutes an integral part of these Terms. You agree that you will supply accurate and complete information to us, and that you will update that information promptly after it changes. You represent and warrant that you have full right and authority to provide Vioops with the foregoing information, including, without limitation, any third party's consent (to the extent required under any applicable law).
We may ask for your mobile number in order to verify your Account when you try to post content or if we suspect improper activity on your Account. Please note that your carrier’s text messaging and data fees apply for mobile number verification. Without limiting the foregoing, you expressly acknowledge that any Submissions (as such term is defined below) or other information you submit to the Services may be viewable by all other users of the Services and any third party.
Without derogating from the provisions of our Privacy Policy, you agree to be presented in the Services with advertisements and promoting materials and periodic e-mails with content recommendations, and further including third party offers which may be designated specifically to you based on your personal information.
You are responsible for any information, opinions, messages, comments, photos, videos, graphics, sounds and other content or material that you submit, upload, post or otherwise make available on, through or in connection with the Services (each a “Submission”). We reserve the right to retain your Submissions, even after they have expired from view within the Services or even after you have deleted them. However, you agree that we have no obligation to retain any Submission for any period of time, nor shall we be responsible or liable to you or any third party for any lost content or losses related to the expiration or deletion of a Submission.
You may not upload, post or otherwise make available on the Services any material protected by copyright, trademark, or any other proprietary right without the express permission of the owner of such copyright, trademark or other proprietary right owned by a third party, and the burden of determining whether any material is protected by any such right is on you. You shall be solely liable for any damage or harm resulting from any Submission that you make. You have full responsibility for each Submission you make, including its legality, reliability and appropriateness.
Unless otherwise explicitly stated herein or in the Privacy Policy, you agree that any Submission provided by you in connection with the Services is provided on a non-proprietary and non-confidential basis. You hereby grant to Vioops a non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up, worldwide license (including the right to sublicense through multiple tiers) to use, reproduce, process, adapt, publicly perform, publicly display, modify, prepare derivative works, publish, transmit and distribute each of your Submissions, or any portion thereof, in any form, medium or distribution method now known or hereafter existing, known or developed, and authorize others to do the same (“Submission License”). Without limiting the foregoing, you agree that the Submission License gives Vioops the right to sublicense Submissions to third parties in connection with the syndication, broadcast, distribution, promotion, or publication of Submissions in any and all media or distribution methods, now known or later developed. No use of Submissions in accordance with the Submission License shall entitle you to any compensation from Vioops, or any third party.
You agree to pay for all royalties, fees, damages and any other monies owing any person by reason of any Submissions posted by you to or through the Services. When you provide Submissions you agree that those Submissions shall not be in violation of the “Unauthorized Activities” section below. Although Vioops may, in its sole discretion, monitor and remove or edit Submissions for any reason, including but not limited to violation of the “Unauthorized Activities” section below, Vioops is not obligated to do so.
When using any part of the Services, you agree not to:
a. Create an Account with or access the Services if you are barred from receiving the Services under the provisions of these Terms or any applicable law;
b. Promote, host, display or implement the Services on any websites that: (i) contain indecent, obscene or pornographic material, hate speech, highly explosive subject matter (as determined by Vioops at its sole discretion), defamatory, libelous, obscene, gambling related, discriminatory, deceptive, abusive spyware, adware, or other malicious programs or code, unsolicited mass distribution of email, or any illegal subject matter or activities or otherwise offensive content, or content addressed to individuals under the age of 13; (ii) incorporate any materials that infringe or assists others to infringe on any copyright, trademark or other intellectual property rights; (iii) are an incentive-based website, such as a lottery or sweepstakes site which rewards users for clicking on links; (iv) engage in activities that violate Vioops's Privacy Policy; (v) openly encourage users to click on banner ads or other sponsored links to support the site; or (vi) infringe any right of any third party or violate any applicable law or regulation;
c. Upload, post, transmit or otherwise disseminate any material that is vulgar, indecent, obscene, pornographic, sexual, violent, discriminatory, unlawful, infringing, hateful or that is, in a reasonable person's view, otherwise offensive or objectionable;
d. Libel, ridicule, defame, mock, stalk, intimidate, threaten, harass, or abuse anyone, hatefully, racially, ethnically or in any other manner;
e. Copy, rent, lease, sell, transfer, assign, sublicense, disassemble, reverse engineer or decompile (except if expressly authorized by Vioops or by applicable statutory law), modify or alter any part of the Services;
f. Upload or transmit (or attempt to upload or transmit) files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files or data, or any other similar software or programs that may damage the operation of the Services or the computers of other users of the Services;
g. Advertise, solicit or transmit any commercial advertisements, including chain letters, junk e-mail or repetitive messages (spim or spam) to anyone;
h. Violate the contractual, personal, intellectual property or other rights of any party including by using, uploading, transmitting, distributing, or otherwise making available any information or material made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other right of any party (including rights of privacy or publicity);
i. Create false personas, multiple identities, multiple user accounts, set up an Account on behalf of someone other than yourself, use bots or other automated software programs to defraud or which otherwise violate these Terms and/or the terms of service of any third-party applications through which the Services is accessed;
j. Attempt to obtain passwords or other private information from other members including personally identifiable information (whether in text, image or video form), identification documents, or financial information;
k. Upload or transmit (or attempt to upload or to transmit), without Vioops's express consent, any material that acts as a passive or active information collection or transmission mechanism, including, without limitation, clear graphics interchange formats ("gifs"), 1x1 pixels, web bugs, cookies or other similar devices (sometimes referred to as "spyware", "passive collection mechanisms" or "pcms");
l. Improperly use support channels or complaint buttons to make false reports to Vioops;
m. Develop and distribute "auto" software programs, "macro" software programs or other "cheat utility" software programs or applications;
n. Encourage any third party to: (i) directly or indirectly generate usage, queries, impressions, or clicks through any automated, deceptive, fraudulent or other invalid means; (ii) edit or modify any tag, or remove, obscure or minimize any tag in any way; or (iii) engage in any action or practice that reflects poorly on Vioops or otherwise disparages or devalues Vioops's reputation or goodwill;
o. Make representations with respect to Vioops not approved in advance and in writing by Vioops. You shall obtain Vioops's prior written approval to the content of any marketing message, and with respect to any use of Vioops's trade name and/or trademarks and/or designs in connection with the Services;
p. Rent, lease, sell, trade, gift, bequeath or otherwise transfer your Account to anyone without Vioops's prior written consent;
q. Access or use an Account which has been rented, leased, sold, traded, gifted, bequeathed, or otherwise transferred from the Account creator without Vioops's prior written consent;
r. Engage in any fraudulent activity with respect to payment methods or advertiser tracking mechanisms;
s. Violate any applicable laws or regulations, or encourage or promote any illegal activity including, but not limited to, copyright infringement, trademark infringement, defamation, invasion of privacy, identity theft, hacking, cracking or distribution of counterfeit software, or cheats or hacks for the Services;
t. Attempt to use the Services on or through any service that is not authorized by Vioops. Any such use is at your own risk and may subject you to additional or different terms. Vioops takes no responsibility for your use of the Services through any service that is not authorized by it;
u. Attempt to interfere with, hack into or decipher any transmissions to or from the servers for the Services; and/or
v. Interfere with the ability of others to enjoy using the Services, including disruption, overburden or aid the disruption or overburdening of the Services’ servers, or take actions that interfere with or materially increase the cost to provide the Services for the enjoyment of all its users.
Vioops webmaster will remove any content or information you post or disable your account if we believe it violates the terms of use.
This list of prohibitions provides examples and is not exhaustive or exclusive. Vioops reserves the right to (a) terminate access to your Account and your ability to post to the Services (or otherwise use the Services) and/or (b) refuse, delete or remove any Submissions; with or without cause and with or without notice, for any reason or no reason, or for any action that Vioops determines is inappropriate, abusive or disruptive to the Services or to any other user of the Services. Vioops WebMaster will act on user reports of offending or offensive or objectionable content within 24 hours by removing the content and disabling the account of the user who provided the offending content. Vioops may report to law enforcement authorities any actions that may be illegal, and any reports it receives of such conduct. When legally required or at Vioops’s discretion, Vioops will cooperate with law enforcement agencies in any investigation of alleged illegal activity on the Services or on the Internet.
Unauthorized use of any Materials or Third-Party Content contained in the Services may violate certain laws and regulations. You agree to indemnify and hold Vioops and its officers, directors, employees, consultants, affiliates, agents, licensors, and business partners (collectively, the “Indemnified Entities”) harmless from and against any and all costs, damages, liabilities, and expenses (including attorneys’ fees and costs of defense) Vioops or any other Indemnified Entity suffers in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third party that your use of the Services or the use of the Services by any person using your user name and/or password (including without limitation, your participation in the posting areas or, your Submissions) violates any applicable law or regulation, or the copyrights, trademark rights or other rights of any third party.
Your use of the Services is at your own risk. The Materials may not have been verified or authenticated in whole or in part by Vioops, and they may include inaccuracies or typographical or other errors. Vioops does not warrant the accuracy of timeliness of the Materials contained on the Services. Vioops has no liability for any loss of, or errors or omissions in Submissions, or for any errors or omissions in the Materials or any other portion of the Services, whether provided by Vioops, our licensors or suppliers or other users.
VIOOPS, FOR ITSELF AND ITS LICENSORS, MAKES NO EXPRESS, IMPLIED OR STATUTORY REPRESENTATIONS, WARRANTIES, OR GUARANTEES IN CONNECTION WITH THE SERVICES OR ANY MATERIALS RELATING TO THE QUALITY, SUITABILITY, TRUTH, ACCURACY OR COMPLETENESS OF ANY INFORMATION OR MATERIAL CONTAINED OR PRESENTED ON THE SERVICES. UNLESS OTHERWISE EXPLICITLY STATED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, MATERIALS AND ANY OTHER PORTION OF THE SERVICES OR ANY INFORMATION OR MATERIAL CONTAINED OR PRESENTED ON THE SERVICES IS PROVIDED TO YOU ON AN “AS IS,” “AS AVAILABLE” BASIS WITH NO WARRANTY OF IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS. WITHOUT LIMITING THE FOREGOING, VIOOPS DOES NOT PROVIDE ANY WARRANTIES AGAINST VIRUSES, SPYWARE OR MALWARE THAT MAY BE INSTALLED ON YOUR COMPUTER.
IN NO EVENT WILL VIOOPS BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES EVEN IF VIOOPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE FOREGOING, VIOOPS SHALL NOT BE LIABLE TO YOU FOR ANY DAMAGES RESULTING FROM YOUR DISPLAYING, COPYING, OR DOWNLOADING ANY MATERIALS TO OR FROM THE SERVICES.
YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SERVICES. YOUR ONLY REMEDY AGAINST VIOOPS FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES. IF, NOTWITHSTANDING THESE TERMS, VIOOPS IS FOUND LIABLE TO YOU FOR ANY DAMAGE OR LOSS THAT ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF THE SERVICES, VIOOPS’S LIABILITY SHALL IN NO EVENT EXCEED ONE U.S. DOLLAR ($1.00) IN THE AGGREGATE.
THE FOREGOING EXCLUSIONS AND LIMITATIONS SHALL APPLY TO THE EXTENT PERMITTED BY LAW. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY, SO THE FOREGOING EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.
You are responsible for following all applicable laws and regulations, including but not limited to laws and regulations regarding the transmission of technical data exported from the country in which you reside.
Feedback
If you send or transmit any communications, comments, questions, suggestions, or related materials regarding Vioops or the Services, whether by email or otherwise (collectively, “Feedback”), such Feedback is, and will be treated as, non-confidential and non-proprietary. You hereby assign all right, title, and interest in, and Vioops is free to use, without any attribution or compensation to you, any and all Feedback for any purpose whatsoever. You understand and agree that Vioops is not obligated to use, display, reproduce, or distribute any such ideas, know-how, concepts, or techniques contained in the Feedback, and you have no right to compel such use, display, reproduction, or distribution.
These Terms, and any disputes arising from or relating to the interpretation thereof, shall be governed by and construed under Israeli law as such law applies to agreements between Israeli residents entered into and to be performed within Israel by two residents thereof and without reference to its conflict of laws principles or the United Nations Conventions for the International Sale of Goods. Except to the extent otherwise determined by Vioops, any action or proceeding arising from or relating to this Agreement must be brought in a court in Tel Aviv, and each party irrevocably submits to the jurisdiction and venue of any such court in any such action or proceeding. If any of these Terms is found to be inconsistent with applicable law, then such term shall be interpreted to reflect the intentions of the parties, and no other terms will be modified. Vioops’s failure to enforce any of these Terms is not a waiver of such term. These Terms are the entire agreement between you and Vioops and supersede all prior or contemporaneous negotiations, discussions or agreements between you and Vioops about the Services. The proprietary rights, disclaimer of warranties, representations made by you, indemnities, limitations of liability and general provisions shall survive any termination of these Terms.
Vioops respects the intellectual property rights of others. If you believe that your intellectual property appears on the Services in violation of your copyright, please provide Vioops’s designated agent the following information:

We will notify you that we have removed or disabled access to copyright-protected material that you provided, if such removal is pursuant to a valid take-down notice that we have received. If you receive such notice from us, you may provide us with a counter-notification in writing to Vioops designated agent that includes all of the following information:

Vioops Privacy Policy
Vioops Ltd. ("Vioops", "we" or "us"), a company under formation in Luxembourg is committed to protecting the privacy of its users ("users" or "you"). This Privacy Policy ("Privacy Policy") has been created to inform you about how we manage, collect, store and use the information you provide in connection with our Application, services and/or website (collectively, the "Services"). Please note that the scope of this Privacy Policy is limited only to information collected by us through your use of the Services. Any capitalized terms used and not otherwise defined herein shall have the meaning ascribed to them in our Terms of Use.
By using the Services, you agree to the collection and use of your personal information as outlined in this Privacy Policy. We may amend the Privacy Policy from time to time, and we encourage you to consult the Privacy Policy regularly for changes.
Information Collected
Our primary objective in collecting user information is to provide and enhance the Services and to enable users to enjoy the Services.
We do not rent, sell, share, or trade your personal information with third parties other than as disclosed within this Privacy Policy.
When you register to, or use, the Services or any portion thereof, we may collect and record the information you provide to us, whether through the Services third party services (the "Account Information"). While our application is in use, we keep track of your device’s geographic location so that we can provide the Services more fully while also perhaps connecting you to other users based on your particular geographic location.
Personal Information
"Personal information" means information about you that can be used to contact or identify you. The personal information types collected in accordance with the Services may vary depending on the activity and may, without limitation, include:

Non-Personal Information
"Non-personal information" is information that, when taken alone, cannot be used to identify or contact you. During your use of the Services we may collect non-personal information about your use of the Services.
If non-personal information is collected for an activity that also requires personal information, we may combine your non-personal information with your personal information in an attempt to provide you with a better user experience, to improve the value and quality of the Services and to analyze how the Services are used.
In addition to information collected as described above, you may choose to share additional information about yourself through the Services. Any additional image or information you provide may be publicly displayed.
Please note that whenever you voluntarily disclose personal information on publicly-viewable screens or pages, that information will be publicly available and can be collected and used by others. For example, if you post your e-mail address, you may receive unsolicited messages. We cannot control who reads your posting or what other users may do with the information you voluntarily post, so we encourage you to exercise discretion and caution with respect to your personal information.
Other information we may collect includes your occupation, language, zip code, area code, location, and the time zone where a Service is used, as well as information about your computer, software, platform, incident data, Internet Protocol (IP) address, network Media Access Control (MAC) address and connection, browser type, browser language, referring pages, exit pages and URLs, number of clicks, domain names, landing pages, pages viewed and the order of those pages, the amount of time spent on particular pages, and the date and time of this activity so that we can better understand customer behavior and improve our products, services, and advertising. We may also receive either non-personal or public information from third parties in connection with market and demographic studies and/or data that we may use to supplement personal information provided directly by you.
Use of Your Information
The personal information you provide will allow us to send you messages regarding, among other things, new products, features, enhancements, special offers, upgrade opportunities, contests and events of interest. You may at any time opt-out of any of these communications.
We may also use personal and non-personal information, both individually and combined together, to better understand the behavior and preferences of our customers, to troubleshoot technical problems, to serve static and dynamic advertising, to enforce our Terms of Use, to ensure proper functioning of our products and services as well as to help improve Services and their content. In addition, we may combine non-personal information with personal information, such as an e-mail address, to administer loyalty programs, and to tailor our offerings and/or web pages.
In all cases of data access and collection, the personal information you provide will not be disclosed, rented, loaned, leased, sold, or otherwise voluntarily distributed to unaffiliated third parties and will be used solely for the purpose of providing you with and improving the Services and for any other purpose stated herein.
WE WILL RETAIN YOUR INFORMATION FOR AS LONG AS YOUR VIOOPS ACCOUNT IS ACTIVE OR AS NEEDED TO PROVIDE YOU THE SERVICES. Access through Third Party
Services
By accessing the Services through a mobile device or other third party platform or service or by connecting to such a third party network, platform or service via the Service, you are authorizing us to collect, store, and use in accordance with this Privacy Policy any and all information that you agreed the mobile device or other third party platform could provide to us through the mobile device / third party platform Application Programming Interface (API) based on your settings on the mobile device or platform. You can request deletion of your Account Information by dissociating or removing the Vioops application from your third party service account in accordance with the instructions provided by the third party service.

We have made reasonable technical and organizational measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to overcome those measures or use your personal information for improper purposes.
